How Satoshi Mundi Plans to Allocate the Money

  • 30% of all money collected from Primary and Secondary sales will go to paying our Blockchain Forensics Expert and Community Manager

  • 20% of all money collected from Primary and Secondary sales will go toward supporting the NFT ecosystem by buying NFTs to showcase in the MMDFA and IFPP

  • 10% of all money collected from Primary and Secondary sales will go toward the Thanksgiving Charity Fundraiser

  • 10% of all money collected from Primary and Secondary sales will go toward funding the Grant and Award Program

  • 13% of all money collected from Primary and Secondary sales will be distributed to Satoshi Mundi, 1% to each member, and equally diluted as new members join

  • 13% of all money collected from Primary and Secondary sales will go toward our Legal and Accounting Team

  • 04% of all money collected from Primary and Secondary sales will go toward opperating expenses, platform fees and gas

  • Every Invisible Fish from either epoch is a single use 24 hour pass to the Metaverse Museum of Digital Fine Art and a lifetime pass to any metaverse concerts or meet-ups held at the museum.

  • Every Invisible Fish holder is entitled to a high resolution download of their Terrarium.

    • To receive your Terrarium, tweet at @SatoshiMundi with the hashtag #haveyouseenmyinvisiblefish. Include in the body of your tweet an image of your terrarium with its name and the chain it was purchased on.

  • Some Invisible Fish from the Genesis Fish Collection entitle the holder to a free 1/1 Invisible Fish NFT minted and gifted 15 months after primary or final secondary sale.

    • The list of Genesis Fish NFTs which qualify for this reward will be published Nov. 1, 2022 on this website.

      • In order to qualify for a free Invisible Fish NFT the wallet owner must register as a long term holder.

      • To Register: Holders must tweet @SatoshiMundi with a picture of the painting and full name of your invisible fish in the body of the tweet with the following hashtags: #haveyouseenmyinvisiblefish #whoissatoshimundi #nftincentiveprogram. Finally, after your holding period has completed, send the same tweet again with the original tweet linked in the body of the tweet.

      • Once an I. F. NFT has been gifted for a specific fish, it cannot be used toward future gift NFTs or as part of any other incentive.

  • Wallets which purchased and held 2 or more Invisible Fish for a period of 24 months are entitled to 1 free Invisible Fish NFT for every extra I.F. NFT held. (Limit 3)

    • This incentive can be combined with all other incentives. Gifted I. F. NFTs do not count toward total I.F. NFT count.

      • In order to qualify for your free Invisible Fish NFTs the holder must register the total collection as a long term holder. Holders must tweet @SatoshiMundi with pictures of paintings and their full names in the body of the tweet with the following hashtags: #haveyouseenmyinvisiblefish #whoissatoshimundi #nftincentiveprogram. Finally, after your holding period has completed, send the same tweet again with the original tweet linked in the body of the tweet.

  • Holders of both versions of a Terrarium from the Genesis Fish Collection or any Invisible Fish from the Cure(ate)d Fish Collection selected for display in the Metaverse Museum of Digital Fine Art (MMDFA) are entitled to licensing fees proportional in value to a share of all revenues generated by visitors to the museum. No fish will earn more than any other fish; each selected fish entitles the holder to a licensing fee equal to one share. Holders are also entitled to write the Exhibit Label associated with the Terrarium.

    • This licensing fee may be paid in either the native token of the chain of Satoshi Mundi’s choosing or using the native token of the I. F. Porthole Project and for entry to the Metaverse Museum of Digital Fine Art. Payments are disbursed every year between Dec. 1st -15th following the launch of the MMDFA.

  • Holders of Invisible Fish from either epoch selected for display in the I. F. Porthole Project (IFPP) are entitled to licensing fees proportional in value to a share of the revenue generated by the I. F. Porthole project.

    • This licensing fee may be paid in either in the native token of the chain of Satoshi Mundi’s choosing or using the native token of the I. F. Porthole Project and for entry to the Metaverse Museum of Digital Fine Art. Payments are disbursed every year between Dec. 1st -15th following the launch of the IFPP

  • Holders of 3 or more Invisible Fish from either epoch selected for display in the MMDFA and/or IFPP will earn entry into the Invisible Fish Trustee Program (IFTP).

    • Trustees will have their own Gallery in the MMDFA to showcase their non Invisible Fish NFTs should they so choose.

    • Members of the IFTP are granted access to the exclusive I. F. Fishing Hole Discord.

    • Fishing Hole Discord members have the right to vote on which non-Invisible Fish NFTs to purchase for display in the IFPP and MMDFA. And when or if to sell said non-Invisible Fish NFTs. All proceeds generated from the sale of said non-I. F. NFTs will be reinvested in non-I. F. NFTs for MMDFA and IFPP.

    • Fishing Hole Discord members have the right to vote on the I. F. Digital Artist Grant Program winner each month.

    • Fishing Hole Discord members have the right to vote on which artist will win the yearly Satoshi Mundi Award for Excellence in Digital Fine Art.

    • Fishing Hole Discord members have the right to vote on the MMDFA design.

    • Fishing Hole Discord members have the right to vote on the IFPP design.

    • Fishing Hole Discord members can purchase one I. F. Porthole at cost.

    • Fishing Hole Discord members have the right to vote on adding or removing the beneficiaries of the Invisible Fish Thanksgiving Charity Drive.

    • Fishing Hole Discord members have the right to vote on any changes to any of the incentives.

    • Fishing Hole Discord members have the right to vote on who will ascend to Satoshi Mundi status.

    • All decisions made by Satoshi Mundi (currently 13 but able to grow to 25 people/entities in total) are by simple majority. Fishing Hole Discord members as a group will represent 2 votes. Making all major decisions approved by either a minimum of 8 to 7 or 13 to 12.

    • Note: Satoshi Mundi reserves the right to refuse entry or remove bad faith potential or actual IFTP members for any reason; but we doubt it will ever come to this. Removed members of IFTP are still entitled to all incentives and dividends they are owed. They simply lose ecosystem decision making power

    • Satoshi Mundi reserves the right to revoke incentives to any wallet engaging in “drop squatting” or bad faith attempts to gamify the incentives program. This is left to the sole discretion of our blockchain forensics expert, Satoshi Mundi and the I.F. Trustee Program has no authority to reinstate a wallet if it has been blacklisted. Before being blacklisted the wallet in question will be identified by the @SatoshiMundi twitter account and be given 30 days to mount a defense. It is the wallet holders responsibility to regularly check the @SatoshiMundi twitter account. There will be no extentions given or exceptions made.

    • Finally, Satoshi Mundi will never buy an Invisible Fish in the Primary or Secondary Market. This is to ensure users that all price action in the I.F. ecosystem is 100% organic. This is also because each member of Satoshi Mundi has been promised 3 Invisible Fish from the Cure(ate)d Fish Collection with Royalties set at 50%. They may only auction one fish a year.

The Invisible Fish Project passes the Howey Test because the remuneration holders of Terrariums receive are licensing fees paid out by Satoshi Mundi and not dividends in the unlicensed securities sense.
